If you do not agree to these terms and conditions, you must stop the purchase process.

 

1 Definitions

 

 “Confidential Information” means information provided by one party to the other in written, graphic, recorded, machine-readableً , or other form concerning the business, customers, suppliers, finances, and other areas of the other party’s business or products, including, but not limited to, course materials, but does not include information that is publicly available other than through the disclosure by the disclosing party, information required to be disclosed by any court or regulatory body, or information that is already in the possession or control of the disclosing party. “Course Materials” means the information provided by Monglish Academy Limited to accompany a course offered as part of the Services in electronic form. “Fees” means the fees you pay to Monglish Academy Limited for the Services. “Intellectual Property Rights” means copyrights, database rights, patent rights, performance rights, designs and registered designs, trademarks, rights relating to confidential information and other intellectual property rights (registered and unregistered) worldwide. “Online Training Course” means our provision of an online training course under which you learn the course material remotely. “Services” means the provision of an online training course and course materials withً , along with other services agreed upon from time to time and purchased through the website, by phone, via WhatsApp, or through social media communication. “Website” “You” means the individual or organization purchasing the Services.

 

2 Services

 

    A description of the Services with the start dates of the Services is available on our website. We will provide the Services with reasonable care and skill in accordance with the description specified on the website.ً

    We reserve the right to modify or withdraw any of the services described on the website without notice.

    We expect you to confirm that the services you purchase will meet your needs. We do not offer you any guarantee that you will obtain a specific result, professional qualification, or job opportunity from purchasing and completing any of the services.

    Ordering Services and Delivery Policies

 

3 Purchasing services via the website

 

    To register for our online course, you must register for an account with us via the website. If you already have an account with us, you can log in to your account using your username and password.

    You can also purchase through other means, including direct communication by phone or WhatsApp, or by communicating through social media, after completing the payment via the direct payment link provided.

    When you place an order for a service via the website, you are offering to purchase the services in accordance withً these terms and conditions. Monglish Academy Limited reserves the right to cancel or refuse your order or any part thereof at any time until it is confirmed in accordance withً clause 3.5 below.

    After receiving your request for services via the website, we will contact you via email, phone, or WhatsApp to confirm receipt of your request and provide the service through links to access Zoom lessons and your Class DOJO account to access materials and resources. Delivery is 100% online, as the online training service consists of 100% online ESL lessons. Delivery begins 24-48 hours after payment confirmation is received, or at a later date if the customer uses the deferral option (pay now, start laterً ).

    The agreement between us and you becomes legally bindingً when: we accept your offer to purchase services from us by confirming the purchase; we receive payment for the relevant fees from you in accordance withً clause 5 below.

    ًُُWhen your order consists of multiple online courses, each individual course will be treated by us as a separate offer to purchase. Our acceptance of your offer to purchase one or more courses will not constitute acceptance of your offer to purchase any other courses.

 

4 Cancellation and Refund Policy

 

    In accordance withً Section 4.2 below, when we accept/ ًًُconfirm services purchased by you and form a legally binding agreement with you in accordance withً , you are permitted, in accordance withً , to cancel your purchase of services in accordance with the published cancellation and postponement policies, which can be accessed via this link, from the day after the date of conclusion of our agreement in accordance withً , clause 3.4.

    If you have purchased an online training course and have already accessed all or part of the online training course and/or started using that online training course, you will not have any right to cancel your order.

    Notwithstanding clause 4.1, there is no other right to cancel or amend the purchase of services and any other cancellation and/or amendment to the course date will be at the sole discretion ofً .

 

5 Fees

 

    The fees for services are listed on the website or as communicated to you by phone at the time of placing your order.

    The service fees you select on the website will be charged to your credit/debit card via   at the time of purchase. Fees must be paid in full before accessing any online training course.

    You are responsible for all costs incurred in connection with your participation in any online training course.

 

6 Liability

 

    ُ does not consider any part of its service provision to be investment advice, andُ is not intended to be and should not be considered as such.

    Although English Comment Limited aims to provide services in accordance withً the highest industry standards, neither it nor its course authors accept any responsibility for: (a) any inaccurate or misleading information provided in the programs or course materials and any reliance by the customer on any such information (b) any loss or damage to data (c) any loss of profits, revenue, or goodwill (d) any indirect, special, or consequential loss arising from any breach of the terms of this agreement

    Except as expressly statedً  in these Terms and Conditions, no other terms, warranties or conditions apply to the Services. Subject toً clause 6.5, no other implied terms, warranties or conditions apply (including any implied terms relating to acceptable quality, fitness for purpose or conformity with description).

    ً . Subject to clause 6.5 below, the total liability of English Comment Limited arising out of or in connection with these terms and conditions and in relation to anything we have done or failed to do in connection with these terms and conditions and the provision of the service (whether the liability arises from breach of contract, negligence or otherwise) shall be limited to the fees we have received in relation to the relevant online course in respect of which the dispute has arisen.

    Nothing in this agreement excludes or limits the liability of English Community Limited (   ) for:

    (a) death or personal injury caused by negligence

    (b) fraudulent misrepresentation

    (c) any other matter under English law that may not be limited or excluded

    No claim may be made more than six months after the date on which the relevant services were completed or ceased to be provided by us.

 

7 Intellectual Property

 

    All intellectual property rights in the course materials and online training courses are and remain the property of English Communication Academy Limited, whether or not they have been adapted, written or customized for the customer.

    You are not authorized to: (a) copy, modify, reproduce, republish, sublicense, sell, upload, broadcast, distribute, or transmit any of the course materials without prior written permission. (b) record the online training course on video tape or audio tape, or retransmit it via videophone or any other means. (c) Use the course materials in the delivery of any course or training, whether by us or any third-party trainer. (d) Remove any copyright notice or other notice from English Communication Limited on the course materials. (e) Modify, adapt, merge, translate, disassemble, decompile, or reverse engineer (except as permitted by law) any software that forms part of the online courses. ً

    Your breach of this clause 7.2 will allow us to immediately terminate these terms and conditions with you and stop providing any services to you, including but not limited to access to online courses.

    ًًIn exchange for the fees you have paid, we grant you a limited, non-transferable, non-exclusive license to use the course materials in connection with the online course for the sole purpose of completing the online course during the specified course access period.

 

8 Confidentiality

 

    Each party undertakes to maintain the confidentiality of the other party’s information and not to use it except for the purposes of these terms and conditions, and must return it upon request and not retain copies thereof.

    Either party may disclose confidential information to its legal advisors and other advisors for the purpose of obtaining advice from them.

    This clause shall survive the termination of these Terms and Conditions.

 

9 Termination

 

    We may terminate these Terms and Conditions and discontinue providing any services to you immediatelyً in the event that: you fail to pay the fees due on the specified date; you breach any other provision of these Terms and Conditions.

    Upon termination of the contract under clauses 6 (Liability), 7 (Intellectual Property Rights), 8 (Confidentiality), and 10 (Restrictions), these clauses shall remain in force despite such termination.

    This clause shall survive the termination of these terms and conditions.

 

10 Waiver

 

    Any services we provide under these terms and conditions are personal to you and cannot be transferred or assigned to anyone else.

    We may assign these Terms and Conditions to any other company without prior notice to you.

 

11 Entire Agreement

 

    These Terms and Conditions, together with the Website Disclaimer and the specific Course Terms, constitute the entire agreement between the parties and supersede any prior agreements or arrangements, whether written or oral. You confirm that you have not relied on any representations in entering into these Terms and Conditions or any other terms and conditions with us. Nothing in this clause or the Terms and Conditions shall limit liability for any fraudulent misrepresentation.

 

12 Force Majeure

 

    Monglish Academy Limited shall not be liable to you for any breach of its obligations or termination under these Terms and Conditions arising from causes beyond its reasonable control, including, without limitation, fires, floods, earthquakes, volcanoes, and other natural disasters; terrorism; strikes; and delays caused by transportation disputes, government laws, or regulations.

 

13 Waiver

 

    We may assign, transfer, or subcontract any of our rights or obligations to any third party at our discretion. ً

    ًًThese terms set out the legal framework for the termination of the agreement between English Community Academy and the customer, and specify the rights and obligations of each party in the event that this occurs.

    Clause 13 states that English Community reserves the right to assign its rights and obligations to any third party, which is common in commercial contracts.

    ًIt is always advisable to carefully review the terms and conditions before accepting them to ensure that you understand your rights and obligations under the agreement.

 

14 Data Protection

 

    The nature of the services we provide means that we will obtain, use, and disclose (together, “use”) certain information about you (“Data”). This statement sets out the principles governing our use of Data. By purchasing the services, you consent to this use.

    When you register with us, you will need to provide certain data such as your contact details and demographic information. We will store this data and may use it to contact you, provide you with details of the services you have purchased, and otherwise as necessary during the normal course of providing the course.
